Terms of Service

Effective Date:August 10th, 2026 Last Updated: August 20th, 2026
PART I — GENERAL TERMS (All Users)

These Terms of Service ("Terms") form a binding agreement between you ("User," "you") and Central Chat LLC, including its affiliates ("Central.Chat," "we," "us") governing your access to and use of the Central.Chat messaging and voice platform, including our websites, mobile applications, APIs, and related services (collectively, the "Service").

Because Central.Chat operates across multiple countries — with a primary focus on the United States and Latin America — some provisions below are supplemented by country-specific addenda where local law requires different or additional terms. Where a mandatory local consumer-protection, telecommunications, or data-protection law conflicts with a provision of these Terms, the local mandatory law controls solely to the extent of that conflict.

If you use the Service on behalf of a business, organization, or other entity to communicate with your customers or contacts, Part II (Business Terms) also applies to you and that use, in addition to Part I.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

2. Eligibility; Age Requirements

  • You must be at least 16 years old, or the minimum age of digital consent in your country (whichever is higher), to create an account without additional consent.
  • Users younger than that threshold may use the Service with the verified consent of a parent or legal guardian, who agrees to these Terms on the minor's behalf and is responsible for the minor's use of the Service, including any voice calling.
  • You must not be barred from receiving the Service under the laws of your jurisdiction or any applicable export control or sanctions list.

3. Description of the Service

Central.Chat provides messaging (text messages, media, and file sharing) and voice calling between individual users, and between individual users and business accounts. Core one-to-one and user-to-business messaging, and a business's ability to respond to inbound user messages, are provided free of charge as described in Section 7 (Free Core Messaging Commitment) and Part II.

We may offer optional, paid "premium" features to individual users (e.g., enhanced customization, storage, or calling features) and to businesses (e.g., broadcast messaging, analytics, automation, additional seats, or API access). Premium features are described at the point of purchase and are governed by Section 9 below.

4. End-to-End Encryption

Messages and voice calls made through the Service are protected by end-to-end encryption. Content is encrypted on the sender's or caller's device and can only be decrypted by the intended recipient(s) — Central.Chat cannot read the content of your messages, cannot listen to or record your calls, and nor can other users, internet or network providers, or other unauthorized third parties.

  • End-to-end encryption applies to the content of one-to-one messages, business conversations, and voice calls made through the Service. It does not extend to metadata such as who you messaged or called, when, and for how long, which Central.Chat may process as described in our Privacy Policy and Section 11 below.
  • Where a Business Account is configured for access by multiple authorized team members (e.g., a shared team inbox), each authorized team member is a permitted recipient able to decrypt and view messages sent to that Business, consistent with the Business's own internal access controls. This is a function of who the Business designates as a recipient, not decryption by Central.Chat.
  • If you choose to enable an optional feature that requires message content to be processed on our servers or by a third party (for example, cloud backup, message search indexing, spam/abuse filtering, or an optional integration), that feature is clearly identified as such, and using it may mean the relevant content is accessible outside pure end-to-end encryption solely to the extent needed to provide that feature.
  • Because Central.Chat does not hold the keys needed to decrypt message or call content, we are unable to produce that content in response to legal process, law enforcement requests, or other third-party demands, and we do not have the technical ability to record calls ourselves. We may still be required to provide metadata or other information we do hold, as described in our Privacy Policy.
  • End-to-end encryption protects content in transit and at rest on our servers; it does not protect against compromise of your own device, a recipient's device, or a recording, screenshot, or forwarding made by a participant to the conversation or call.

5. Call Recording and Consent

Because voice calls are end-to-end encrypted as described in Section 4, Central.Chat has no technical ability to listen to, access, or record calls made through the Service. Any recording of a call is made locally by a participant to that call — an individual user or a Business Account — using their own device or tools, not by Central.Chat. Recording laws vary significantly by jurisdiction: some require the consent of only one party to the call, while others (including several U.S. states and Latin American countries) require the consent of all parties before a call may be lawfully recorded.

  • If you initiate or enable recording of a call, you — not Central.Chat — are solely responsible for obtaining all consents required under the laws applicable to you and the other participant(s), including where an all-party consent standard applies.
  • Businesses recording customer calls must disclose the recording at or before the start of the call and, where legally required, obtain affirmative consent before recording continues.
  • Any recording you make is stored and retained by you (or, for Business Accounts, in accordance with the Business's own systems and the Business Data Processing Terms referenced in Part II); Central.Chat does not store call recordings on your behalf unless a specific recording-storage feature is separately offered and agreed to.
  • You may not use call recording to surveil, harass, or record another person without a lawful basis, and must not share recordings of others without appropriate consent or legal authority.

6. Accounts and Security

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • Notify us promptly at [SECURITY/SUPPORT EMAIL] if you suspect unauthorized access to your account.
  • We may suspend or terminate accounts that are inactive, fraudulent, impersonating another person or entity, or created in violation of these Terms.

7. Free Core Messaging Commitment

Central.Chat commits that the following will remain free of charge for as long as the Service is offered, absent a change communicated in accordance with Section 18 (Changes to These Terms):

  • Messaging between individual users.
  • A user's ability to send an initial message to a business account.
  • A business account's ability to respond to inbound messages initiated by a user.

This commitment does not extend to optional premium features layered on top of core messaging (e.g., broadcast/marketing messages initiated by a business, automation, analytics, extended storage, or API access), which may be offered on a paid basis as described in Section 9 and Part II.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, including consumer protection, anti-spam, telecommunications, export control, or data-protection law in your jurisdiction or the recipient's jurisdiction;
  • Send unsolicited bulk messages, spam, or messages that violate applicable anti-spam or telemarketing rules;
  • Harass, threaten, defraud, impersonate, or invade the privacy of others, including through unauthorized call recording;
  • Transmit malware, conduct security testing without authorization, or interfere with the Service's operation;
  • Infringe intellectual property or other rights of any person or entity;
  • Exploit the Service to distribute child sexual abuse material, extremist content, or content that sexualizes or endangers minors — such content will be removed and reported to appropriate authorities.
Prohibited Activities

Without limiting the general prohibitions above, using the Service to facilitate, promote, or conduct any of the following is a violation of these Terms and a valid basis for immediate suspension or termination of your account under Section 16:

  • The unlawful sale, trade, or brokering of firearms, ammunition, or other weapons;
  • Sharing or distributing nudity, pornography, or other sexually explicit content;
  • The sale, trade, or distribution of illegal drugs or controlled substances;
  • Unlawful or unlicensed gambling or betting activity;
  • Human trafficking, forced labor, or exploitation of any person;
  • Corruption, bribery, or money laundering; and
  • Any other activity that is prohibited by applicable law.

Central Chat LLC may, at its discretion, cooperate with law enforcement and other government authorities where it suspects the Service is being used for any of the activities listed above or other unlawful conduct, including by responding to lawful requests for available account information (which, as described in Section 4, does not include the content of end-to-end encrypted messages or calls).

9. Premium Features and Payments

  • Premium features are optional and clearly marked as paid at the point of purchase, with pricing and billing terms (subscription term, auto-renewal, cancellation window) disclosed before you pay.
  • Payment processing is handled by third-party payment processors; you agree to their applicable terms. Central.Chat does not store full payment card numbers.
  • Subscriptions renew automatically unless cancelled before the renewal date, consistent with applicable auto-renewal disclosure laws (e.g., U.S. state auto-renewal statutes, and equivalent consumer-protection rules in Latin American markets).
  • Refunds are governed by the policy in place at the time of purchase and by mandatory consumer-protection law where applicable (e.g., statutory withdrawal/cooling-off rights).

10. User Content and Intellectual Property

You retain ownership of the messages, voice content, files, and other content you submit through the Service ("User Content"). You grant Central.Chat a limited, worldwide license to host, store, transmit, and process User Content solely to operate, secure, and improve the Service, consistent with our Privacy Policy.

Central.Chat and its licensors retain all rights, title, and interest in the Service itself, including software, trademarks, and branding. Nothing in these Terms transfers any such rights to you.

Your Responsibility for User Content

You are solely responsible for the User Content you send, share, or transmit through the Service, and for ensuring you have all rights necessary to do so. By sending or sharing User Content, you represent and warrant that:

  • You own the User Content or otherwise have all necessary rights, licenses, consents, and permissions to send, share, and transmit it through the Service, including any third party's copyright, trademark, patent, trade secret, publicity, privacy, or other proprietary or intellectual property rights;
  • The User Content, and your sending or sharing of it, complies with all applicable law, including laws governing defamation, harassment, privacy, obscenity, fraud, export control, and the other Acceptable Use restrictions in Section 8; and
  • You have obtained any consent required from other individuals referenced or identifiable in the User Content (for example, before sharing another person's contact details, images, or a call recording of them).

Because messages are end-to-end encrypted as described in Section 4, Central.Chat generally cannot review User Content before it is sent and does not pre-screen messages for legality or infringement. Responsibility and liability for the content of your messages, files, and calls rests with you as the sending user or Business, not with Central.Chat, except to the extent Central.Chat's own conduct is the cause of the harm.

11. Privacy and Data Protection

Our collection and use of personal data is described in our Privacy Policy. As noted in Section 4, message and call content is end-to-end encrypted and not accessible to Central.Chat; the personal data we do process includes account information, message and call metadata, and business communications data as applicable. Depending on where you are located, additional rights and obligations may apply, including under:

  • U.S. state privacy laws (e.g., California's CCPA/CPRA and comparable state statutes);
  • Brazil's Lei Geral de Proteção de Dados (LGPD);
  • Comparable data-protection statutes in other Latin American countries where Central.Chat operates (e.g., Mexico, Colombia, Argentina, Chile) [CONFIRM FULL LIST OF LAUNCH COUNTRIES];
  • Where applicable to EU/UK users, the GDPR/UK GDPR.

Businesses using the Service to communicate with end users act as independent controllers/responsible parties for their own use of end-user data and must comply with applicable data-protection law, as further described in the Business Data Processing Terms (Part II, Section 7).

12. Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processors, CRM or helpdesk integrations for business accounts, identity verification providers). Your use of those services is subject to their own terms and privacy policies, and Central.Chat is not responsible for third-party services.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTRAL.CHAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF MESSAGING OR VOICE CALLING, INCLUDING DURING EMERGENCIES. THE SERVICE IS NOT A SUBSTITUTE FOR TRADITIONAL EMERGENCY CALLING SERVICES (E.G., 911 OR LOCAL EQUIVALENTS).

14. Limitation of Liability

To the maximum extent permitted by applicable law, Central.Chat's aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to Central.Chat in the 12 months before the claim arose. Central.Chat will not be liable for indirect, incidental, special, consequential, or punitive damages. Nothing in these Terms limits liability that cannot be limited under applicable law (including, where applicable, liability for gross negligence, willful misconduct, or death or personal injury).

Because the core messaging and calling features of the Service are provided to users and businesses free of charge, as described in Section 7 and Part II, neither users nor businesses may claim damages, refunds, or other compensation from Central.Chat arising from an outage, error, bug, delay, data loss, or other malfunction of the Service in its free configuration. This limitation does not apply to liability that cannot be excluded under applicable law (for example, liability arising from Central.Chat's gross negligence, willful misconduct, or fraud).

Any paid or premium feature that could reasonably be expected to carry service-level commitments, guaranteed uptime, data-handling obligations, or associated liability (for example, a business-tier subscription with support commitments or an enterprise API agreement) will be governed by a separate signed agreement or order form between Central.Chat and the paying user or business, which will set out any liability terms specific to that feature. Absent such a separate signed agreement, paid features remain subject to the limitations in this Section 14.

15. Indemnification

You agree to defend, indemnify, and hold harmless Central.Chat, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your User Content, including any claim that it infringes, misappropriates, or otherwise violates a third party's intellectual property, publicity, or privacy rights;
  • Your violation of applicable law in connection with any message, file, recording, or other content you send, share, or transmit through the Service, including the legality of that content in the jurisdiction(s) where it is sent or received;
  • Unauthorized or unlawful call recording, or failure to obtain consents required under Section 5;
  • Your breach of these Terms or of any representation or warranty you make under Section 10; or
  • Your use of the Service in violation of applicable law, in each case except to the extent the claim arises from Central.Chat's own breach of these Terms, negligence, or willful misconduct.

Central.Chat reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

16. Suspension and Termination

  • You may stop using the Service and delete your account at any time.
  • Central Chat LLC reserves the right to suspend or terminate a user's or Business's account, at its discretion, for any reason it deems legal and proper, including but not limited to: non-compliance with these Terms, failure to maintain civil and appropriate behavior toward other users or Central.Chat, and use of the Service for unauthorized, unlawful, or prohibited activities (including those listed in Section 8).
  • Where reasonably practicable, we will provide notice of a suspension or termination and the reason for it; however, we may act without prior notice where we believe doing so is necessary to prevent harm, comply with law, or preserve the integrity of the Service.
  • Sections that by their nature should survive termination (e.g., IP ownership, disclaimers, limitation of liability, indemnification, dispute resolution) will survive.

17. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-laws principles, and any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, except where mandatory local law requires application of local law or a local forum (including many consumer-protection statutes in Latin American jurisdictions, which commonly require disputes to be resolved under local law and before local consumer courts or agencies for local consumers).

[PLACEHOLDER — arbitration and class-action-waiver clause, if desired, to be drafted with counsel on top of the Delaware governing-law/forum selection above. Note: mandatory consumer arbitration clauses are unenforceable or restricted in a number of Latin American jurisdictions and against certain U.S. state consumer-protection claims; a jurisdiction-differentiated dispute-resolution schedule is recommended rather than a single global clause.]

18. Changes to These Terms

Central Chat LLC reserves the right to change and amend these Terms in the future whenever it deems appropriate. For material changes, we will provide notice (e.g., in-app notice or email) at least [14/30] days before the change takes effect, except where an immediate change is required for legal, security, or safety reasons.

If you do not agree with a change to these Terms, your remedy is to stop using the Service and close your account (or, for a Business, deactivate its Business Account) before the change takes effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.

19. Notices; Contact

Legal notices to Central.Chat should be sent to Central Chat LLC from their website or mobile app.

20. Miscellaneous

  • Severability: if a provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment: you may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure: neither party is liable for delay or failure caused by events beyond reasonable control.
  • Entire agreement: these Terms, the Privacy Policy, and any incorporated policies constitute the entire agreement between you and Central.Chat regarding the Service.
PART II — BUSINESS TERMS ADDENDUM

This Addendum applies in addition to Part I whenever you register, verify, or operate a Central.Chat Business Account, or otherwise use the Service to communicate with end users as, or on behalf of, a business, brand, or organization ("Business," "you").

1. Business Account Eligibility and Verification

  • You represent that you have authority to register the Business and to bind it to these Terms.
  • Central.Chat may require identity or business verification (e.g., registration documents, tax ID, or equivalent) before enabling certain features, particularly premium or higher-volume messaging.

2. Free Business Messaging Scope

Consistent with Section 7 of Part I, the following remain free for Business Accounts:

  • Responding to messages initiated by an end user to the Business ("user-initiated conversations"), including a reasonable follow-up window as defined in our then-current messaging policy to resolve that conversation.

The following are examples of features that may be offered on a paid, premium basis and are not covered by the free commitment above: business-initiated broadcast or marketing messages, automated workflows/chatbots beyond a basic tier, multi-seat team inboxes beyond a free allotment, analytics/reporting, CRM integrations, and API access. Specific inclusions are defined in the pricing page in effect at the time.

3. Acceptable Use for Business Messaging

  • A Business may not send messages to a user who has not opted in or initiated contact, except where the user has given prior express consent consistent with applicable anti-spam and telemarketing law (e.g., U.S. TCPA/CAN-SPAM-equivalent rules, and equivalent Latin American consumer-protection and data-protection consent requirements).
  • A Business must honor opt-out/unsubscribe requests promptly and must not circumvent a user's block or opt-out.
  • A Business must not use the Service for prohibited or high-risk categories (e.g., unlicensed financial services, unlicensed pharmaceuticals, deceptive or predatory lending, or content otherwise prohibited under Section 8 of Part I) without any additional approvals we require.
  • Central.Chat may apply quality or reputation scoring to Business Accounts and may throttle, label, or suspend messaging privileges for Businesses with high block/report/spam-complaint rates.

4. Call Recording by Businesses

Because voice calls are end-to-end encrypted, Central.Chat has no ability to record, access, or store the content of a Business's calls with users. Where a Business records its own voice calls with users (e.g., for support quality or compliance purposes) using its own systems or tools, the Business is the party solely responsible for disclosing the recording and obtaining any consent required under the law applicable to the call, per Section 5 of Part I (Call Recording and Consent). This responsibility is not shifted to Central.Chat.

5. Business Content and Branding

A Business is responsible for the content it sends, including compliance with advertising, consumer-protection, and truth-in-advertising law applicable in the recipient's jurisdiction. Central.Chat may require use of a verified display name/logo and may remove or relabel Business Accounts that misrepresent their identity.

6. Premium Business Features and Fees

Paid Business features (e.g., broadcast messaging, automation, analytics, additional seats, API access) are billed under the order form, in-app purchase flow, or business agreement in effect at signup, and are subject to Section 9 of Part I. Usage-based features (e.g., per-message or per-minute charges beyond an included allotment) will be disclosed with pricing before you incur them.

7. Business Data Processing Terms

To the extent a Business processes end-user personal data through the Service (including message content, contact details, and call recordings) as an independent controller/responsible party, the Business agrees to comply with applicable data-protection law (e.g., LGPD, applicable U.S. state privacy law, and other Latin American data-protection statutes in scope) and, where required by such law, to enter into a separate data processing agreement with Central.Chat covering Central.Chat's role as processor/operator on the Business's behalf.

A Business may not use end-user data obtained through the Service for purposes beyond responding to and servicing that user's inquiry, and any permitted marketing use, without the consent required by applicable law.

  • A Business must implement reasonable security measures for any end-user data it exports from the Service.

8. API and Integration Use

If Central.Chat provides API access, use is subject to any separate API terms, rate limits, and documentation published by Central.Chat, which are incorporated by reference and may be updated from time to time.

9. Suspension of Business Accounts

In addition to Section 16 of Part I, Central.Chat may suspend or terminate a Business Account for violation of applicable anti-spam/consent rules, sustained high complaint rates, unlawful call recording practices, or failure to complete required verification.
